Red River Mustang Club Bylaws

ARTICLE I – MEMBERSHIP

Section A: Admission

1.  Members must own a Ford Mustang.
2.  Members must pay annual dues specified in Article IV - Funds and Finances.
3.  All paying members will be issued a membership card.  Active members may participate in RRMC activities and receive any benefits (such as special discount offers) available through RRMC membership.
4.  Membership is open to everyone owning a Mustang, regardless of sex, race, color, or creed.

 Section B: Type of Membership

1.  Full time active member (General member)
2.  Affiliate Member to the General member.  (*See Article IV Section B3 of RRMC constitution)

 

ARTICLE II – OFFICERS

Section A: Officers and Responsibilities

 1.  President

  • Elected Officer
  • Acts as club ambassador
  • Has general charge of club business
  • Chairs and conducts club meetings

 2.  Vice-President

  • Elected Office
  • Assists the President
  • Performs Presidential functions when President is absent

 3.  Secretary

  • Elected Officer
  • Maintains and keeps the minutes of all club meetings
  • Complies and distributes a monthly newsletter, if necessary
  • Addresses club correspondence

 

4.  Treasurer

  • Elected Officer
  • Keeps club books and conducts yearly audit
  • Collects dues and fees
  • Ensures club bills are paid promptly
  • Provides financial update to membership at monthly meetings
  • Maintains club finances and appropriate financial institutional account

 

ARTICLE III - MEETINGS AND ELECTION OF OFFICERS

Section A: Meetings:

 

1.  General meetings will be held on the first Tuesday of each month at 7:00 PM.
2.  Meeting place will be placed on the RRMC website and decided upon at the previous meeting.  Unless specified otherwise, meetings will be held at the Bank One building 5th floor conference room, Wichita Falls, TX.
3.  Voting quorum will be a minimum of 4 full time active members and 2 Full time active members.
4.  Special meetings will be held as needed.  These meetings will be called by the President only.

 

Section B: Election of Officers

1.  A nominating committee consisting of three full time active members will be formed at the March general membership meeting.
2.  Nominations will be made by the nominating committee at the April general membership meeting.  Nominations will also be accepted from the floor at the April meeting.
3.  The four officers (President, Vice-President, Secretary, and Treasurer) will be elected by a majority vote using ballots.  One ballot distributed per RRMC membership.
4.  Absentee ballots will be accepted by a current Board member, or via US mail to (Address to be determined).
5.  A quorum of full time active members (minimum of 7 active members and 3 officers) attending the general membership meeting must participate to elect officers.  Absentee ballots will be in addition to the needed quorum.
6.  Officers elected at the April meeting will take office immediately with their term of office running for one year.
7.  Special elections may be called at the request of the President (or acting President) to replace an officer that is not able to complete his/her term of office.

ARTICLE IV - FUNDS AND FINANCES

1.  Membership Fees for RRMC members will be $20.00 yearly.  In addition, affiliate membership fees are $5.00 (*See Article IV Section B3 of RRMC constitution).  Any applications for membership received will pay an annual due of $20.00, as well as an additional $5.00 for any affiliate member who wishes to join with his/her general member.  Membership will begin that month and carry through the next calendar year.  (Do we want to establish Lifetime membership?).
2.  Individual members may be assessed additional costs to cover damages for which he/she is responsible for during club sponsored events.
3.  Donations from interested parties/businesses will be placed in the club's general fund for operating expenses unless designated otherwise by the donating party or vote of the general membership.
4.  RRMC is a non-profit organization; therefore, monies will be placed in the general operating fund.
5.  The President or Vice President may authorize the Treasurer to provide up to $100.00 in emergency funds to a club member during club sponsored events.  The receiving member must offer a reasonable repayment schedule before funds can be approved.
6.  Monies collected at fundraising events shall be distributed promptly within one week of event among designated charities if possible based on receipt of bills from incurred expenses.

ARTICLE V – REGULATIONS

The Board will establish operating procedures for the safe, efficient and economical operation of the club.  The mechanical safety of all member vehicles is of prime importance.  No alcohol or unlawful substances or activities will be tolerated at any club-sponsored events.

ARTICLE VI - INSURANCE AND LIMITATIONS

RRMC is organized to provide recreational opportunities to its members in the Wichita County area.  Membership and participation in RRMC activities is strictly voluntary.  Therefore, formal insurance will not be provided by the RRMC at this time.  In order to fulfill legal obligations, all members are required to have and maintain proper liability insurance on all vehicles used during club functions.

ARTICLE VII – AMENDMENTS

These By-laws may be amended by a quorum vote (*See Article VI Section A2 of RRMC constitution) at a general membership meeting.

ARTICLE VIII – APPROVALS

These By-laws become effective and all previous By-laws are rescinded upon approval of the members of the RRMC.

 

ARTICLE IX – AUTHENTICATION

These By-laws have been read and approved by the general membership of the Red River Mustang Club.

Red River Mustang Club Constitution

ARTICLE I – NAME

This organization shall be known as the "Red River Mustang Club" (RRMC) located in Wichita County and surrounding areas in Texas. (Do we want to limit to Texas??)

 

ARTICLE II – PURPOSE

The club is organized to allow members to improve their morale through association with people who have similar interests in Mustang automobiles.  The club will serve to help inform the Wichita County area about Mustangs and be an information source for local enthusiasts.  Club activities will provide both safe and economical opportunities to RRMC members the fun of owning a Mustang.

ARTICLE III – AUTHORITY

The RRMC will operate under both the rules of this constitution and the Bylaws of RRMC.

ARTICLE IV – MEMBERSHIP

Section A: General

1.  Club membership is voluntary and open to everyone owning a Mustang regardless of their sex, race, color, or creed.  The RRMC is a private, non-profit organization and is not based on any ranking system.
2.  The RRMC membership is limited to persons that are Ford Mustang owners. (Do we want to limit to only Mustang owners??)

 Section B: Definitions

1.  Full time active members are persons who own a Mustang and have completed an application for membership.
2.  Full time active members have paid dues to the club and have RRMC voting privileges.
3.  Affiliate members are either related to the General member or are living in the same household.  They have the same benefits as General members but voting rights are limited to one vote per membership.

Section C: Termination

RRMC members may terminate their membership by written notification to the RRMC. Termination for cause may be directed by majority vote of the club officers after determining:

A.  Member conduct is prejudicial or unbecoming a RRMC member
B. The member has failed to discharge indebtedness to the RRMC.

ARTICLE V – ADMINISTRATION

Section A: Board of Officers (Board)

Four RRMC elected officers will serve as voting members of the Board of Directors.

Section B: Responsibilities of the Board.

The Board will serve as the RRMC governing council. The Board will determine all matters of RRMC policy to insure safe, efficient, and financially sound club operation.  The Board will be responsible for the efficient operation of the RRMC.  The RRMC Board will act as liaison between the Wichita County area and the RRMC.  The RRMC Board may also establish relations with other automobile clubs, private businesses, organizations and charities as deemed necessary.

Section C: Election of Officers

The Board shall be elected from the full time active members at the April general membership meeting.

Section D: Vacancies

If an elected member of the Board resigns, the remaining Board members will appoint a qualified and willing member to fill the vacancy until the next regularly scheduled meeting and election.

ARTICLE VI - QUORUMS AND MEETINGS

Section A: General Membership

1.  General membership meetings will be held monthly.  Other meetings may be called as the Board deems necessary.
2.  Four full time active members with at least two Board members shall constitute a quorum.

Section B: Board of Directors

1.  The Board of Directors will meet prior to and/or during general membership meetings or at the call of the President.  The Board will review the club financial condition and conduct normal club business as necessary.
2.  Four full time active members with at least two Board members shall constitute a quorum.

ARTICLE VII – AMENDMENTS

Amendments to the constitution shall require ratification by two-thirds of the voting membership present at a general meeting (*See Article VI Section A2).  Amendment proposals may be submitted by any club member or by an annual review board appointed by the Board of Officers.

ARTICLE VIII – APPROVAL

This constitution becomes effective and all previous constitutions are rescinded upon approval by the Board of the RRMC.

ARTICLE IX – AUTHENTICATION

This constitution has been read and approved by the general membership of the Red River Mustang Club.
